(HEREINAFTER JOINTLY “SODRAC”) AND THE CANADIAN MUSICAL REPRODUCTION RIGHTS AGENCY (CMRRA), FOR THE REPRODUCTION OF MUSICAL WORKS IN THE REPERTOIRE OF SODRAC OR CMRRA BY COMMERCIAL RADIO STATIONS IN 2005

General Provisions All royalties payable under this tariff are exclusive of any fed- eral, provincial or other governmental taxes or levies of any kind.

Each licence shall subsist according to the terms set out therein. CMRRA/SODRAC Inc. shall have the right at any time to termi- nate a licence for breach of terms and conditions upon 30 days notice in writing. Short Title 1. This tariff may be cited as the CMRRA/SODRAC Inc. Com- mercial Radio Tariff, 2005. Definitions 2. In this tariff “gross income” means the gross amount paid by any person for the use of one or more broadcasting services or facilities pro- vided by the radio station’s operator, excluding the following: (a) income accruing from investments, rents or any other business unrelated to the radio station’s broadcasting activ- ities. However, income accruing from any allied or subsidi- ary business that is a necessary adjunct to the radio station’s broadcasting services and facilities or which results in their being used shall be included in the “gross income”; (b) amounts received for the production of a program that is commissioned by someone other than the radio station and which becomes the property of that other person; (c) the recovery of any amount paid to obtain the exclusive national or provincial broadcast rights to a sporting event, if the radio station can establish that it was also paid normal fees for station time and facilities. CMRRA/SODRAC Inc. may require the production of the contract granting these rights together with the billing or correspondence relating to the use of these rights by other parties; (d) amounts received by an originating radio station on be- half of a group of radio stations, which do not constitute a permanent network and which broadcast a single event, si- multaneously or on a delayed basis, that the originating radio station subsequently pays out to the other radio stations par­ticipating in the broadcast. These amounts paid to each par- ticipating radio station are part of that radio station’s “gross income”; (« revenus bruts ») “low-use station” means (a) a station that (i) broadcasts works in the repertoire for less than 20 per cent of its total broadcast time (excluding production mu- sic) during the reference month; and (ii) keeps and makes available to CMRRA/SODRAC Inc. complete recordings of its last 90 broadcast days; or

Tarif CMRRA/SODRAC inc. pour la radio commerciale, 2005. Définitions 2. Les définitions qui suivent s’appliquent au présent tarif. « année » Année civile; (“year”) « mois de référence » Mois antérieur au mois qui précède celui pour lequel les redevances sont versées; (“reference month”) « musique de production » Musique incorporée notamment aux messages publicitaires, aux messages d’intérêt public et aux ri-tournelles; (“production music”) « répertoire » Répertoires de la SODRAC et de la CMRRA; (“repertoire”) « réseau » Réseau tel qu’il est défini dans le Règlement sur la désignation de réseaux (Loi sur le droit d’auteur) DORS/99-348, Gazette du Canada, Partie II, vol. 133, n o 19, p. 2166; (“network”) « revenus bruts » s’entend des sommes brutes payées par toute personne pour l’utilisation d’une ou de plusieurs installations ou services de diffusion offerts par la station de radio, à l’ex- clusion des sommes suivantes : a) les revenus provenant d’investissements, de loyers ou d’autres sources non reliées aux activités de diffusion de la station de radio. Il est entendu que les revenus provenant d’activités reliées ou associées aux activités de diffusion de la station de radio, qui en sont le complément nécessaire, ou ayant comme conséquence l’utilisation des services et instal­lations de diffusion, font partie des « revenus bruts »; b) les sommes versées pour la réalisation d’une émission pour le compte d’une personne autre que la station de radio et dont cette autre personne devient propriétaire; c) les sommes reçues en recouvrement du coût d’acquisition de droits exclusifs, nationaux ou provinciaux, de diffusion d’événements sportifs, dans la mesure où la station de radio établit qu’elle a aussi perçu des revenus normaux pour l’uti- lisation du temps d’antenne et des installations de la station de radio. CMRRA/SODRAC inc. aura le droit d’exiger la production du contrat d’acquisition de ces droits, ainsi que des factures ou autres documents se rattachant à l’usage de ces droits par des tiers;

Le 25 mars 2006 (b) a station that (i) during the reference month, does not make or keep any reproduction onto a computer hard disk; (ii) during the reference month, does not use any repro- duction kept onto the hard disk of another station within a network; and (iii) agrees to allow CMRRA/SODRAC Inc. to verify the conditions set out in subparagraphs (i) and (ii) and does so allow when requested; (« station à faible utilisation ») “network” means a network within the meaning of the Regula- tions Prescribing Networks (Copyright Act), SOR/99-348, Canada Gazette, Part II, Vol. 133, No. 19, p. 2166; (« réseau ») “production music” means music used in interstitial programming such as commercials, public service announcements and jin- gles; (« musique de production ») “reference month” means the second month before the month for which the royalties are being paid; (« mois de référence ») “repertoire” means the repertoire of SODRAC and CMRRA; (« répertoire ») “year” means a calendar year. (« année »)

Application 3. This tariff applies to licences for the following uses of musi- cal works in the repertoire by commercial radio stations: (a) the reproduction of a work, in whole or in part, by any known or to be discovered process, in any format or material form, by a commercial radio station for the purpose of using the reproduction in the broadcasting operations of the station or of another station that is part of the same network as the station; (b) the embodiment of a work in a montage, a compilation, a mix or a medley, for the purpose set out in paragraph (a) and subject to the moral rights of authors; (c) the keeping of reproductions made pursuant to para- graphs (a) or (b), so long as the station is licensed pursuant to this tariff.

4. This tariff does not authorize the use of a reproduction made pursuant to section 3 in association with a product, service, cause or institution. Royalties 5. A low-use station shall pay, on its gross income for the ref- erence month, 0.12 per cent of the station’s first $625,000 gross income in a year, 0.23 per cent of the station’s next $625,000 gross income in a year and 0.35 per cent on the rest. 6. Any other station shall pay, on its gross income for the refer- ence month, 0.27 per cent of the station’s first $625,000 gross income in a year, 0.53 per cent of the station’s next $625,000 gross income in a year and 0.8 per cent on the rest. Administrative Provisions 7. No later than the first day of each month, the station shall pay the royalties for that month and report the station’s gross income for the reference month. Information on Repertoire Use 8. (1) Upon receipt of a written request from CMRRA/ SODRAC Inc., a station shall provide to CMRRA/SODRAC Inc., with respect to all musical works broadcast by the station during the days selected by CMRRA/SODRAC Inc.:

Les sommes ainsi remises à chaque station de radio participante font partie des « revenus bruts » de cette station de radio participante; (“gross income”) « station à faible utilisation » Soit a) une station ayant diffusé des œuvres faisant partie du ré­pertoire pour moins de 20 pour cent de son temps d’antenne total (sans tenir compte de la musique de production) durant le mois de référence et qui conserve et met à la disposition de la CMRRA/SODRAC inc. l’enregistrement complet de ses 90 dernières journées de radiodiffusion; ou b) une station qui n’a ni effectué ou conservé de reproduc-tions sur un disque dur ni utilisé de reproductions conservées sur le disque dur d’une station faisant partie d’un réseau du-rant le mois de référence, qui permet à la CMRRA/ SODRAC inc. de vérifier le respect de la présente disposi-tion et qui permet effectivement telle vérification sur de-mande. (“low-use station”)

Application 3. Le présent tarif régit les licences permettant les utilisations suivantes des œuvres musicales faisant partie du répertoire par des stations de radio commerciales : a) reproduction, en tout ou en partie, d’une œuvre par tout pro-cédé connu ou à découvrir, sur un support quelconque, afin de l’utiliser dans le cadre des activités de radiodiffusion de la sta­tion ou d’une autre station faisant partie du même réseau; b) incorporation dans un montage, une compilation, un mixage ou un pot-pourri, pour les fins visées au paragraphe a) et sous réserve des droits moraux des auteurs; c) conservation des reproductions faites conformément aux pa-ragraphes a) ou b) tant et aussi longtemps que la station est ti-tulaire d’une licence régie par le présent tarif.

4. Le présent tarif n’autorise pas l’utilisation d’une reproduc­tion faite en vertu de l’article 3 en liaison avec un produit, un service, une cause ou une institution. Redevances 5. Une station à faible utilisation verse, à l’égard de ses revenus bruts durant le mois de référence, 0,12 pour cent sur la première tranche de 625 000 $ de revenus bruts annuels, 0,23 pour cent sur la tranche suivante de 625 000 $ et 0,35 pour cent sur l’excédent. 6. Toute autre station verse, à l’égard de ses revenus bruts du­rant le mois de référence, 0,27 pour cent sur la première tranche de 625 000 $ de revenus bruts annuels, 0,53 pour cent sur la tran­che suivante de 625 000 $ et 0,8 pour cent sur l’excédent. Dispositions administratives 7. Au plus tard le premier de chaque mois, la station verse les redevances payables pour ce mois et fait rapport de ses revenus bruts pour le mois de référence. Renseignements sur l’utilisation du répertoire 8. (1) Sur demande écrite de la CMRRA/SODRAC inc., la sta-tion lui fournit les renseignements suivants à l’égard de toutes les œuvres musicales qu’elle a diffusées durant les jours choisis par la CMRRA/SODRAC inc. :

6 Supplement to the Canada Gazette (a) the date and time of the broadcast; and (b) where applicable, the title of the work, the name of the au- thor, the name of the composer, the name of the performer or performing group, the record label and the catalogue number of the sound recording. (2) The information set out in subsection (1) shall be provided in electronic format where possible, otherwise in writing, no later than 14 days after the end of the month to which it relates. (3) CMRRA/SODRAC Inc. may request information pursuant to subsection (1) with respect to no more than 14 days in any given year. Records and Audits 9. (1) The station shall keep and preserve, for a period of six months after the end of the month to which they relate, records from which the information set out in section 8 can be readily ascertained. (2) The station shall keep and preserve, for a period of six years after the end of the year to which they relate, records from which the station’s gross income can be readily ascertained. (3) CMRRA/SODRAC Inc. may audit these records at any time during the period set out in subsection (1) or (2), as well as the broadcast day recordings of a low-use station, on reasonable notice and during normal business hours.

(4) If an audit discloses that royalties due have been under- stated in any month by more than ten per cent, the station shall pay the reasonable costs of the audit within 30 days of the de- mand for such payment.

Confidentiality 10. (1) Subject to subsections (2) and (3), CMRRA/SODRAC Inc., SODRAC and CMRRA shall treat in confidence information received pursuant to this tariff, unless the station consents in writ- ing to the information being treated otherwise.

(2) Information referred to in subsection (1) may be shared (i) amongst CMRRA/SODRAC Inc., SODRAC and CMRRA; (ii) with the Copyright Board; (iii) in connection with proceedings before the Board; (iv) to the extent required to effect the distribution of royal- ties, with royalty claimants; or (v) if ordered by law or by a court of law. (3) Subsection (1) does not apply to information that is publicly available, or to information obtained from someone other than the station, who is not under an apparent duty of confidentiality to the station.

Adjustments 11. Adjustments in the amount of royalties owed (including ex- cess payments), as a result of the discovery of an error or other- wise, shall be made on the date the next royalty payment is due.

Interest on Late Payments 12. Any amount not received by the due date shall bear interest from that date until the date the amount is received. Interest shall

(1) La station tient et conserve durant six mois après la fin du mois auquel ils se rapportent, les registres permettant de dé-terminer facilement les renseignements demandés au titre de l’article 8. (2) La station tient et conserve durant six années après la fin de l’année à laquelle ils se rapportent, les registres permettant de déterminer facilement ses revenus bruts. (3) La CMRRA/SODRAC inc. peut vérifier ces registres à tout moment durant la période visée au paragraphe (1) ou (2), de même que l’enregistrement des journées de radiodiffusion d’une station à faible utilisation, durant les heures régulières de bureau et moyennant un préavis raisonnable.

(4) Si la vérification des registres d’une station révèle que les redevances ont été sous-estimées de plus de dix pour cent pour un mois quelconque, la station assume les coûts raisonnables de la vérification dans les 30 jours suivant la date à laquelle on lui en fait la demande.

Traitement confidentiel 10. (1) Sous réserve des paragraphes (2) et (3), la CMRRA/ SODRAC inc., la SODRAC et la CMRRA gardent confidentiels les renseignements transmis en application du présent tarif, à moins que la station ne consente par écrit à ce qu’ils soient divulgués.

(2) La CMRRA/SODRAC inc., la SODRAC et la CMRRA peuvent faire part des renseignements visés au paragraphe (1) (i) à l’une d’entre elles; (ii) à la Commission du droit d’auteur; (iii) dans le cadre d’une affaire portée devant la Commission; (iv) à une personne qui demande le versement de redevan-ces, dans la mesure où cela est nécessaire pour effectuer la distribution; ou (v) si la loi ou une ordonnance d’un tribunal l’y oblige. (3) Le paragraphe (1) ne s’applique pas aux renseignements disponibles au public ou obtenus d’un tiers non tenu lui-même de garder confidentiels ces renseignements.

Ajustements 11. L’ajustement dans le montant des redevances payables par une station (y compris le trop-perçu), qu’il résulte ou non de la découverte d’une erreur, s’effectue à la date à laquelle elle doit acquitter son prochain versement.

Intérêts sur paiements tardifs 12. Tout montant non payé à son échéance porte intérêt à compter de la date à laquelle il aurait dû être acquitté jusqu’à la

Delivery of Notices and Payments 13. (1) Subject to section 14, anything addressed to CMRRA/ SODRAC Inc. shall be sent to 759 Carré Victoria, Suite 420, Montréal, Quebec H2Y 2J7, email csi@cmrrasodrac.ca, fax (514) 845-3401, or to any other address, email address or fax number of which the station has been notified in writing.

(2) Subject to section 14, anything addressed to a station shall be sent to the last address, email address or fax number of which CMRRA/SODRAC Inc. has been notified in writing.

14. A payment shall be delivered by hand or by postage paid mail. 15. (1) Anything mailed in Canada shall be presumed to have been received three business days after the day it was mailed. (2) Anything sent by fax or by email shall be presumed to have been received the day it is transmitted.
