NOTICE OF GROUNDS FOR PROPOSED TARIFF Filed with the Copyright Board by SOCAN on 2023-10-23 pursuant to Rule 15 of Copyright Board Rules of Practice and Procedure

SOCAN Tariff 5.A Exhibitions and Fairs (2025-2027)

1. Description of Uses Covered by the Proposed Tariff This tariff applies to performances in public of any or all of the works in SOCAN’s repertoire, at exhibitions or fairs.

2. Description of Users / Groups of Users Covered by the Proposed Tariff Users are organizers or promoters of exhibitions and fairs. Importantly, it is the nature of the use, and not the nature of the user, that determines whether the tariff applies.

3. Explanation of How Royalties are Determined The proposed royalty rate for 2025-2027 is calculated based on total attendance. For events where the total attendance is below 75,000, the proposed tariff sets a per-day royalty as follows:

Total Attendance Up to 25 000 persons 25 001 to 50 000 persons 50 001 to 75 000 persons

Royalty Payable per day $21.46 $43.16 $107.68

Where the total attendance exceeds 75,000 persons, the proposed tariff sets a per-person royalty, as follows:

Total Attendance For the first 100 000 persons

For the next 100 000 persons For the next 300 000 persons All additional persons

Royalty Payable per Person 1.79¢

0.78¢ 0.59¢ 0.44¢

The per-day and per-person royalty amounts were last approved by the Board in 2022 for the years 2018 to 2024 (2022 CB 18-T). The proposed per-day and per-royalty amounts have been increased for inflation according to the Board’s established CPI-adjustment formula. SOCAN has estimated the

appropriate inflationary increase based on projected CPI for the relevant years. According to the Board’s adjustment formula, this figure will likely change once actual CPI data is available. Notwithstanding the proposed royalties, SOCAN requests that the Board certify the maximum inflationary increase that SOCAN is entitled to under the Board’s adjustment formula at the time of certification of the tariff.

4. Submissions on the Collection of Information The proposed tariff requires users to report their actual attendance and duration of the exhibition or fair. The information collected under the proposed tariff is needed to calculate royalties. These reporting requirements are the same as those set out in the previously approved tariff. 5. Explanation of Changes from Previously Approved Tariff The proposed royalty amounts have been adjusted to account for inflation as explained above.
