Reasons for the Order On May 12, 1992, Musée de la Civilisation (hereinafter, «the applicant») filed a licence application with the Board under section 70.7 of the Copyright Act (hereinafter, «the Act») to authorize the reproduction and translation of brief extracts from two books: Jules Flaubert, by Ubald Paquin, published by Éditions P.R. Bisaillon, in 1923; and Montréal, by Raymond Tanghe, published by Éditions Lévesque, in 1936. The application was made for the purpose of reproducing extracts of the original French with an English translation, on panels to be displayed as part of an exhibition on the history of Montreal, at the Bonsecours Market in Montreal, from May 15 to October 12, 1992. The applicant contends that the copyright owners are unlocatable. The efforts made to locate the copyright owners are described by the applicant's representative, Rose Marie Lafrance, Licensing Officer for the Union des écrivaines et écrivains québécois (UNEQ), in the licence application. UNEQ is a licensing body representing reprography rights for authors in the province of Quebec. It does not represent either of the authors of the two works in question. On behalf of the applicant, UNEQ wrote to the estate of both authors, seeking permission to use the works, but received no reply. Motifs de l'ordonnance Le 12 mai 1992, le Musée de la Civilisation (ci-après, «le demandeur») a déposé une demande de licence auprès de la Commission en vertu de l'article 70.7 de la Loi sur le droit d'auteur (ci-après, «la Loi») autorisant la reproduction et la traduction de courts extraits de deux livres: Jules Flaubert, de Ubald Paquin, publié chez les Éditions P.R. Bisaillon en 1923; et Montréal, de Raymond Tanghe, publié chez les Éditions Lévesque, en 1936. La demande vise à reproduire les extraits, dans leur version originale en langue française ainsi que traduits en anglais, sur des panneaux faisant partie d'une exposition sur l'histoire de Montréal, présentée au Marché Bonsecours de Montréal, du 15 mai au 12 octobre 1992. Le demandeur affirme que les titulaires du droit d'auteur sont introuvables. Les efforts effectués pour les retrouver sont décrits dans la demande de licence par la représentante du demandeur, Rose Marie Lafrance, Responsable du service des droits, Union des écrivaines et écrivains québécois (UNEQ). L'UNEQ est une société de gestion pour les droits de reprographie des auteurs québécois. Elle représente ni l'un, ni l'autre des auteurs des deux ouvrages dont il s'agit ici. Pour le compte du demandeur, l'UNEQ a écrit à la succession des deux auteurs, demandant de pouvoir se servir des oeuvres, mais n'a pas reçu de réponse.
- 2 All of the above is attested in an affidavit from Gaston Duchesne, project head, Exhibitions Service, dated June 12, 1992 produced by the applicant at the Board's request. The Board is satisfied that the applicant has made reasonable efforts to locate the copyright owners and that, furthermore, the owner cannot be located. Thus, under subsection 70.7(1) of the Act, the Board is entitled to grant a non-exclusive licence authorizing the applicant to use the works described above. Pursuant to subsection 70.7(2), the Board establishes the following terms and conditions: A) The expiry date of the licence This licence will expire on November 1, 1992 and replaces the interim licence issued on May 14, 1992. The applicant must therefore complete the authorized reproduction and translation by that date. B) The type of use which is authorized The Board authorizes the applicant to reproduce the extracts and the English translations on panels that will form part of an exhibition on the history of Montreal. C) The licence fee The Board sets the licence fee at $131.00 for the use of Jules Flaubert and $173.00 for the use of Montréal. The Board has taken into account the information provided by the applicant concerning UNEQ's rate schedule for reproduction and translation rights. The fee is payable to UNEQ, to be held in trust. D) The holding of funds and the disposal of unclaimed funds The Board believes that the "terms and À la demande de la Commission, le demandeur a produit un affidavit de Gaston Duchesne, chargé de projets, Service des expositions, daté du 12 juin 1992, qui relate l'ensemble des démarches décrites au paragraphe précédent. Conformément au paragraphe 70.7(2), voici les modalités que fixe la Commission: A) La date d'expiration de la licence Cette licence expire le 1 er novembre 1992 et remplace la licence provisoire émise le 14 mai 1992. Le demandeur doit donc compléter la reproduction et traduction autorisées d'ici cette date. B) Le genre d'utilisation autorisée La Commission autorise le demandeur à reproduire les extraits ainsi qu'une traduction anglaise sur des panneaux faisant partie d'une exposition sur l'histoire de Montréal. C) Le coût de la licence La Commission fixe le montant de la licence à 131,00$ pour l'utilisation de Jules Flaubert et 173,00$ pour l'utilisation de Montréal. La Commission s'est fondée sur l'information produite par le demandeur concernant le tarif de l'UNEQ pour les droits de reproduction et de traduction. Ces sommes sont payables à l'UNEQ qui les détiendra en fiducie. D) La détention des fonds en fiducie et la disposition des fonds non réclamés La Commission est d'avis que le pouvoir dont elle
- 3 conditions" provision contained in subsection 70.7(2) of the Act allows it to make use of any device that will protect the interests of unlocatable copyright owners without imposing an undue burden on the applicant. Requiring a licensee to pay the royalties directly to a licensing body permits the copyright owner to collect the royalties directly from the licensing body, in this case, UNEQ, just as an owner would who is a member of the licensing body. As for the licensing body, it may acquire a new member, or may be able to keep the royalties fixed in the licence, with the accumulated interest, for the overall benefit of its members, if it does not hear from the copyright owner within five years of the expiration of the licence. Le titulaire du droit d'auteur pourra ainsi suivre la même procédure pour obtenir compensation que s'il était membre de la société de gestion. Quant à la société de gestion, elle pourra espérer augmenter ses rangs si le titulaire du droit d'auteur se manifeste dans les cinq ans suivant l'expiration de la licence. Sinon, elle conservera le montant des droits fixés par la licence et les intérêts accumulés, dans l'intérêt général de ses membres.
